Early Signal has signed a definitive Membership Interest Purchase Agreement to acquire 100% of the membership interests in CATS Tonometer, LLC, an USA based company headquartered in Tucson Arizona.

Upon closing. CATS Tonometer will become a wholly owned subsidiary of Early Signal Diagnostics and will continue its established ophthalmic device business.

Sean McCafferty, MD, FACS

President & Chief Executive Officer

An ophthalmologist and engineer who founded CATS Tonometer, LLC and serves as its chief executive. He holds a degree in mechanical engineering and a Master of Science in optical engineering from the University of Arizona, attended medical school at The Ohio State University and completed his ophthalmology residency at the University of Arizona. He is a named inventor or applicant on more than ten patents and applications in ophthalmic opto-mechanics, has published extensively in glaucoma diagnostics, founded Arizona Eye Consultants and several ambulatory surgery centres, and was named 2017 Alumnus of the Year by the University of Arizona College of Optical Sciences.

Roy P. Shapiro

Chairman of the Board

A former diagnostic radiology administrator of sixteen years and a lecturer on aesthetic laser and light-based procedures. He co-founded Hi-Tech Medical Lasers, an early manufacturer of handheld air-cooled carbon dioxide lasers later sold to a division of Pfizer, and co-founded a private equity group that built and acquired fifteen diagnostic imaging centres across eight states. He has served on the boards of Healthmed Services, Ltd., Arrestage International, Inc. and Mind and Body Research, Inc. He holds a degree in biological sciences from the University of California, Irvine and a Doctor of Medicine from the Universidad Autónoma de Guadalajara. Mr. Shapiro is the company’s controlling shareholder.

Ted D. Campbell II

Chief Financial Officer, Secretary, Treasurer & Director

More than thirty-five years in corporate and securities regulatory matters, advising private and public companies on structure and governance, capital formation, regulatory compliance and mergers and acquisitions. He has been involved with more than two hundred issuers quoted on the OTC Markets, the former OTC Bulletin Board and Nasdaq. He worked for the Oklahoma Department of Securities and the Nevada Department of Securities early in his career, and holds a Juris Doctor and M.B.A. from the University of Oklahoma and a B.B.A. in corporate finance from Texas A&M University.

Steve Liker

Chief Technology Officer

Chief Executive Officer of New Century Diagnostics, Inc., a clinical laboratory built around a patented serum separation extraction technology. His work there spans health risk assessment and specialised testing panels from metabolic screening to hormone tracking, with an emphasis on quality assurance and laboratory throughput.

Gary Croft

Executive Vice President

Nearly four decades in pharmaceuticals and medical devices. He began in sales with Aventis in the United Kingdom before moving to the United States, then held marketing and sales roles at Glaxo Wellcome and a senior marketing position at Medicis, joined Johnson & Johnson as U.S. head of sales and marketing for a new aesthetics division, developed international product marketing at Merz in Germany and served as Chief Marketing Officer of Syneron. He founded The Aesthetics Group in 2009. B.A. (Hons) Economics, University of East Anglia; post-graduate certification, Leeds University.

Todd Wright

Vice President

A founder of several life sciences and medical services businesses. He provided medical consulting to NASA and its supporting agencies from 1998, founded Celebrity Health in 2004 to deliver wellness services to the film, television and music industries, and built a concierge medical tourism platform supported by a network of physicians and technicians. He formed Addidon Life Sciences Corporation in 2005. He attended Brigham Young University.

Paul Floodman

Vice President

Five years in mergers and acquisitions with Crestrock Advisors, Inc., following a career in finance that included positions at American Express and Shearson Lehman Brothers and a Vice Presidency of Wealth Management at Morgan Stanley / Dean Witter. His weekly market analysis was carried in more than twenty-nine publications, and he has spoken widely on wealth management, including as a regular guest on the Financial News Network.

Angelo Esposito

Director of Strategic Development

Engaged with Westwood Advisors, a corporate development consultancy, where he works with client companies on structure and growth: strategic development, mergers and acquisitions, marketing, new product development, licensing and distribution, and market analysis. He has closed numerous cross-border transactions in sectors including medical devices and physician-dispensed products, holds an M.B.A. and is cleared to work in the European Union.

Dr. Demetri Panayi

Director

An anesthesiologist practising in Mesa, Arizona for more than twenty-five years, affiliated with several hospitals in the area including Banner Desert Medical Center and Abrazo Arrowhead Campus. He received his medical degree from the University of Arizona College of Medicine – Tucson. He invests in health sciences and medical device businesses and has served on boards through merger and acquisition diligence. Dr. Panayi holds a minority interest in CATS Tonometer, LLC and is a seller in the transaction described on this page.
